These Affiliate Terms & Conditions (“Terms”) are a contract between Lisa K, Carroll, doing business as Lisa K. Carroll, and any individual or entity applying to participate as a marketing affiliate (“Affiliate”). By signing up to participate in the Company’s Affiliate Program, the Affiliate agrees to these Terms in full. If the Affiliate does not agree, they must not participate in the Affiliate Program
1. Program Overview
The Company offers Affiliates the opportunity to promote select programs and earn a commission for referred sales. Eligible programs include:
- Kajabi Business Success Membership (KBS)
- Membership Creation Mastery
Affiliates earn a 30% commission on qualifying sales generated through their unique affiliate links.
Commissions are calculated on the gross revenue actually received by the Company, less any discounts, refunds, or chargebacks.
2. Tracking & Attribution
- Affiliate sales are tracked through the Company’s affiliate software using cookies, IP addresses, and other tracking technology.
- Commissions are credited to the Affiliate when a customer makes a qualifying purchase using the Affiliate’s unique link.
- If a customer clicks multiple affiliate links before purchasing, the most recent link clicked will receive credit.
The Company is not responsible for lost commissions due to cookie deletion, browser changes, ad blockers, or tracking interference.
3. Payment of Commissions
- Commissions are paid monthly via PayPal to the PayPal email address provided by the Affiliate at signup.
- Payments are issued on the 10th of each month, following a 30-day waiting period after the customer’s purchase to account for refunds or chargebacks.
- There is no minimum payout threshold.
- Affiliates are responsible for ensuring their PayPal information is accurate and up to date. The Company is not responsible for payments sent to incorrect or outdated PayPal accounts.
Affiliates earning $600 or more in a calendar year must submit a completed IRS Form W9 before additional payments are issued.
4. Prohibited Promotion Methods
Affiliates may not:
- Post or share affiliate links within any Company-owned communities, courses, memberships, or Facebook groups, or to individuals already on the Company’s email list.
- Use paid advertising (such as Google Ads, Facebook Ads, or retargeting) that uses the Company’s name, brand, or trademarks.
- Engage in spam, deceptive marketing, or misleading claims.
- Offer bonuses, discounts, or incentives not pre-approved by the Company.
The Affiliate Program is designed to reward outreach to new audiences outside of the Company’s existing customer base.
5. Self-Referrals & Personal Purchases
Self-referrals are strictly prohibited. Affiliates may not use their own affiliate links to receive a discount or commission on their own purchases, including those made under their own name, business name, or household members.
The purpose of this Affiliate Program is to reward affiliates for referring new customers and helping expand awareness of the Company’s programs, not to obtain personal discounts.
Any commissions generated from self-referrals will be voided.
6. Relationship of the Parties
Affiliates are independent contractors, not employees, partners, or representatives of the Company. Affiliates are responsible for their own taxes, including federal, state, and local income taxes and any other obligations arising from commissions earned.
7. Marketing Materials
The Company may provide official logos, images, copy, and other materials (“Marketing Materials”) for Affiliates to use. Affiliates may only use Marketing Materials provided or approved by the Company and must not alter or misrepresent them in any way. Upon termination, the Affiliate must cease using all Marketing Materials immediately.
8. Termination
The Company reserves the right to terminate any Affiliate’s participation at any time and for any reason, including but not limited to:
- Breach of these Terms
- Conduct that damages the Company’s reputation
- Misleading or unethical marketing practices
All commissions earned in accordance with these Terms before termination will be paid on the next scheduled payout date.
Affiliates may terminate participation at any time by written notice to the Company.
9. Confidentiality
Affiliates may receive confidential or proprietary information while participating in the Affiliate Program. The Affiliate agrees not to disclose, reproduce, or use such information for any purpose outside of this Program.
10. Limitation of Liability
The Company makes no guarantees regarding the amount of commissions the Affiliate may earn. Participation is at the Affiliate’s own risk.
In no event shall the Company be liable for any indirect, special, incidental, or consequential damages arising from the Affiliate Program.
11. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Alabama, without regard to conflict of law principles.
Any disputes shall be resolved through binding arbitration in Anniston, AL, and each party waives the right to participate in a class action.
12. Modifications to the Terms
